Limited Liability Statement

This Limited Liability Statement explains the terms under which Prima Frame (Prima USA, LLC; “the Manufacturer”) supplies its products and limits liability for damages, injuries, or other issues connected to installation, use, or misuse. By purchasing or using a Prima Frame product, you (“the User”) agree to the following:

Safety Notice

Each product includes installation instructions intended to make self-installation safe and straightforward. If these instructions are ignored, performed with the wrong tools, or carried out in unsafe environments, the Manufacturer cannot be held responsible for resulting injuries or damage. If at any point the User is unsure how to proceed, they should pause installation and seek professional help or contact Prima Frame support.

1. Installation Risks

Any damages, injuries, or losses caused by incorrect or incomplete installation are the User’s responsibility. Proper installation requires strict adherence to the instructions provided.

2. Misuse of Instructions

The Manufacturer is not responsible for problems caused by misunderstanding the instructions or by failing to follow them as written. If clarification is needed, the User must reach out before continuing.

3. Use Outside of Intended Purpose

Prima Frame products are designed for specific, defined applications. Liability does not extend to:

Use with incompatible hardware, tools, or materials.
Altering, modifying, or adapting the product.
Applying the product outside its intended purpose.

4. Environmental Conditions

Users must ensure the product is kept within normal environmental conditions. The Manufacturer is not responsible for damage caused by excessive heat, moisture, or any other unsuitable surroundings.

5. Damages Not Covered

The Manufacturer is not liable for indirect, incidental, or secondary damages, including but not limited to:

Loss of use, revenue, or profit.
Damage to televisions, walls, furniture, or other property.
Costs associated with repairing or replacing nearby structures or equipment.

6. Warranty Limitations

Prima Frame provides a limited product warranty, detailed in the documentation supplied with the product. Except where specifically stated in that warranty or required by law, no additional warranties are provided, whether express or implied. This includes, but is not limited to, implied warranties of merchantability and fitness for a particular purpose.

7. Manufacturer’s Liability Cap

If the product is shown to have a manufacturing defect, the Manufacturer’s liability is limited solely to either replacing the product or refunding the purchase price. No other remedies are available. This limitation does not apply where consumer protection laws prohibit such exclusions (for example, in the case of proven personal injury caused by a manufacturing defect).

8. User Responsibilities

The User agrees to:

Read and follow the safety and installation instructions carefully.
Use appropriate tools and equipment.
Ensure the installation environment is safe and suitable.
Inspect the product for visible issues before installation.
Stop installation if uncertain, and seek assistance before continuing.

9. Indemnification

The User agrees to protect and hold harmless the Manufacturer, its employees, and affiliates against claims, costs, or damages (including legal fees) arising from:

Improper installation or use.
Failure to follow the provided instructions.
Unauthorized changes or modifications.

This does not apply in cases of gross negligence or intentional misconduct by the Manufacturer.

10. Governing Law and Dispute Resolution

This Statement is governed by the laws of the State of South Carolina. Any dispute will be resolved exclusively through binding arbitration under the rules of the American Arbitration Association (AAA), with arbitration to take place in South Carolina. Decisions of the arbitrator are final and binding. Users agree to pursue claims individually and waive participation in class actions or consolidated proceedings.

11. Acceptance of Terms

By opening, installing, or using the product, the User acknowledges and accepts these terms. Where exclusions of liability are restricted by law, this Statement applies only to the fullest extent allowed.

12. Filing a Claim

Claims related to product defects or personal injury must be submitted in writing to Prima Frame within 30 days of the incident. Claims must include:

A description of what occurred.
Proof that the product was installed per instructions.
Photographs of the product and installation.
Any supporting records such as repair receipts or medical bills.

Claims must be filed within the applicable statute of limitations, and no later than one year from the incident date.

13. Unusual Situations

Not all possible installation scenarios can be anticipated. The Manufacturer is not liable for outcomes from situations not specifically covered in the instructions or this Statement.

14. High-Risk Use Prohibition

This product is not intended for use in environments where product failure could cause catastrophic outcomes, such as hazardous material facilities or critical infrastructure. Any such use is solely at the User’s risk.
